Jacque B Inc. Coaching Service Agreement

1. Introduction

This Coaching Service Agreement ("Agreement") is made between Jacque B Inc., a corporation registered in the State of Texas, ("Coach") and the Client ("Client"). By purchasing services, enrolling in programs, or engaging in creative services, the Client agrees to all terms and conditions outlined in this Agreement.

2. Scope of Services

Jacque B Inc. provides coaching and consulting services to individuals, businesses, and organizations, including:

• Coaching Programs: One-on-One Coaching, Group Coaching, Custom Packages
• Business & Leadership Coaching: Corporate Training, Executive Coaching, Team Development
• Courses & Digital Products: Online Courses, Workshops, Webinars
• Creative Services: Custom Vision Paintings, Empowered YouPrints (All Tiers)

3. Payment Terms

• Full Payment & Payment Plans: Full, 6-month, and 9-month options are available.
• Non-Refundable Deposits: 50% deposit required for Vision Paintings and specific packages.
• Refund Policy: No refunds for completed sessions, delivered digital products, or custom creative work.
• Outstanding Balances: The Client remains responsible for any unpaid balances in the event of service termination.

4. Client Responsibilities

• Active Participation: Attend sessions, complete assignments, and apply insights.
• Engagement for Business Coaching: Ensure team involvement and alignment with objectives.
• Respect for Intellectual Property: Materials provided by Jacque B Inc. are for personal use only and may not be reproduced, shared, or distributed without written permission.

5. Confidentiality

• All personal and business information shared during coaching is confidential, unless required by law.
• Business Coaching: Corporate strategies, proprietary information, and internal communications are protected.

6. Intellectual Property

• All materials, curriculum, resources, and creative products remain the intellectual property of Jacque B Inc..
• Includes materials adapted from the Certified High Performance Coach (CHPC) program, cited as:

"Source: This tool is based on proprietary concepts from High Performance Institute’s Certified High Performance Coach Program™. Do not duplicate or distribute without permission."

• The Client and businesses may not reproduce, distribute, or replicate materials without written consent.

7. Disclaimer of Warranties

• Services are provided 'as is' without warranties of any kind, express or implied.
• Coaching is not therapy, medical, or legal advice, and specific results are not guaranteed.

8. Limitation of Liability

• The Client agrees to hold Jacque B Inc. harmless from any decisions, actions, or outcomes resulting from coaching services.
• No liability for direct, indirect, incidental, or consequential damages.

9. Indemnification

• The Client agrees to indemnify and hold harmless Jacque B Inc., its officers, employees, and agents against any claims, liabilities, damages, losses, and expenses.

10. Force Majeure

• Jacque B Inc. is not liable for failure to perform due to causes beyond its control, including natural disasters, government actions, technical failures, and internet outages.

11. Cancellations & Rescheduling

• Session Rescheduling: Requires 48-hour notice. Missed sessions without notice are forfeited.
• Business Contracts: Must adhere to contract-specific terms for cancellations and rescheduling.

12. Termination Policy

• Coaching services can be terminated by either party with written notice.
• Payments for completed services are non-refundable, and outstanding balances remain due.

13. Dispute Resolution

• Mediation Required: Disputes must attempt mediation before legal action.
• Governing Law: This Agreement is governed by the laws of the State of Texas, USA, regardless of the Client’s location.

14. Severability

• If any provision of this Agreement is found to be invalid, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

• This Agreement supersedes all prior discussions, agreements, or understandings, whether written or oral.
• Any modifications to this Agreement must be made in writing and signed by both parties.

16. Non-Disparagement

• The Client agrees not to disparage Jacque B Inc., its services, or representatives, including on social media, online reviews, and public statements.

17. Data Protection and Privacy

• Jacque B Inc. complies with data protection laws and uses personal data solely to provide services.
• The Client’s information will not be shared with third parties without consent, except as required by law.

Agreement & Acknowledgment

By purchasing services, attending sessions, or participating in programs, the Client agrees to all terms and conditions outlined in this Agreement.

The Client must acknowledge acceptance by checking a box on the checkout page before completing their purchase.
